Professional-Only Sales

These General Terms and Conditions of Sale apply exclusively to transactions conducted with professional clients acting within the scope of their business activity. CODEXIM does not sell to private individuals (consumers as defined by applicable law). Any order placed by a non-professional may be cancelled.

Scope of Application

These General Terms and Conditions of Sale (GTCS) apply to all orders confirmed on the website https://webstore.merchantservices.be, developed and operated by CODEXIM. The products sold on this website are intended exclusively for MerchantServices.be clients in the context of an independent commercial relationship. These GTCS govern sales to professional clients located within the European Union, particularly in Belgium.

1. Acceptance of the GTCS

Any order placed on the website constitutes full and unreserved acceptance by the professional client of these GTCS. Electronic communications are considered equivalent to written documents.

2. Entire Agreement

These GTCS constitute the entire agreement between the customer and CODEXIM. They prevail over any purchase conditions or documents issued by the customer, unless otherwise agreed in writing.

3. Login Credentials and Security

The customer is responsible for the use of their login credentials and must immediately report any fraudulent use to CODEXIM.

4. Prices and Payment

Prices shown on the website are in euros, exclusive of taxes, and may be modified at any time.

For professional clients within the European Union holding a valid intra-Community VAT number, the sale is exempt from French VAT, in accordance with Article 262 ter I of the French General Tax Code (CGI). The customer undertakes to provide a valid VAT number and to self-account for VAT in their country.

Payment in full is required at the time of order, by credit card (Visa / CB / MasterCard) or any other payment method offered on the website. No order shall be shipped prior to receipt of payment.

5. Delivery

Deliveries are made under Incoterm DAP – customer’s delivery address (Incoterms 2020). Risk transfers upon delivery of the products to the address provided at the time of the order.

Delivery times (typically 2 to 5 days) are indicative. CODEXIM shall not be held liable for any delay, except in the case of gross misconduct or non-performance.

Shipping fees are invoiced at the applicable rate, unless the order exceeds €150 excluding VAT, in which case delivery is free of charge.

6. Retention of Title

Products remain the property of CODEXIM until payment is received in full. Risk transfers to the customer upon delivery.

7. Claims and Returns

The customer must inspect the products upon receipt and notify CODEXIM within eight (8) calendar days of:

  • any visible damage to packaging or products;
  • any delivery error (missing or incorrect product);
  • any non-conformity with the order.

The claim must be made in writing (email) and, if possible, accompanied by photographs of the relevant products. After this period, the products shall be deemed compliant and accepted without reservation.

Any return of goods must be pre-approved by CODEXIM. Returned products must be in perfect condition, complete, unused, in their original packaging, and properly repackaged. Return shipping costs shall be borne by the customer, unless expressly agreed otherwise by CODEXIM.

8. Warranty

Products are warranted for a period of ninety (90) days from the date of delivery against hidden defects or non-conformity.

To invoke the warranty, the customer must notify CODEXIM in writing of the defect during the warranty period, providing a detailed description of the issue and, if possible, photographs.

CODEXIM will, at its sole discretion:

  • repair the product;
  • or replace it with an identical or equivalent product;
  • or reimburse the product if no alternative solution is reasonably possible.

The warranty does not cover damage resulting from misuse, modification, improper installation or storage, or normal wear and tear.

9. Liability

CODEXIM shall not be held liable for any indirect or non-material damages. Its liability is limited to the pre-tax amount of the relevant order.

10. Applicable Law and Jurisdiction

These GTCS are governed by French law. Any dispute falls under the exclusive jurisdiction of the Commercial Court of Paris. In the event of a translation, only the French version shall prevail. The French version is available at the following URL: https://webstore.merchantservices.be/fr/cgv

11. Force Majeure

Neither party shall be held liable in the event of force majeure, including but not limited to natural disasters, armed conflicts, strikes, or network disruptions.

12. Personal Data

CODEXIM undertakes to comply with applicable regulations regarding the protection of personal data. The customer has the right to access, rectify, and delete their personal data.

13. Export Compliance

The customer agrees to comply with applicable export control laws. No product may be exported in violation of such regulations.
